Oppdatering vedrørende begjæring om gransking av REC Silicon / Update regarding the petition for an investigation into REC Silicon

Tingretten har nå avslått vår begjæring om gransking. I tillegg er vi, på vegne av felleskapet, idømt sakskostnader. Avslaget er utelukkende begrunnet med at vi formelt ikke lenger regnes som aksjonærer, som følge av Anchors tvangsutløsning av minoritetsaksjonærene.

Vår vurdering av avgjørelsen:

  • Ingen realitetsbehandling: Retten har overhodet ikke vurdert substansen i kravene våre eller tatt stilling til om det foreligger grunnlag for gransking.
  • Sviktende helhetsforståelse: Tingretten avviser saken på et rent formelt hinder, uten å se sammenhengen mellom de kritikkverdige forholdene vi krevde gransket i 2024 og 2025, og at nettopp disse handlingene banet vei for at Anchor kunne overta selskapet og tvangsinnløse minoriteten.
  • Treg saksbehandling: Begjæringen har vært gjenstand for lang saksbehandling, noe som faktisk ga Anchor anledning til å gjennomføre tvangsutløsning før domsavsigelse. Begjæringen ble levert medio januar, og vår forståelse, uten at det var sagt i klartekst, var at saken nærmet seg domsavsigelse allerede rundt påsketider. Etter bytte av dommer, og etter gjennomføring rettsferie, forelå ikke dom før fem måneder senere.

Vi er sterkt uenige i rettens konklusjon og begrunnelse. Konsekvensen er at de kritikkverdige forholdene vi har påpekt ikke blir belyst.

The District Court has now dismissed our petition for an investigation. In addition, we have been ordered, on behalf of the community, to pay legal costs. The dismissal is based solely on the grounds that we are formally no longer considered shareholders, following Anchor’s squeeze-out of the minority shareholders.

Our assessment of the decision:

  • No consideration of the merits: The court has not considered the substance of our claims at all, nor has it ruled on whether grounds for an investigation exist.
  • Lack of holistic understanding: The District Court dismissed the case on purely formal grounds, failing to see the connection between the reprehensible matters we demanded an investigation into in 2024 and 2025, and the fact that these very actions paved the way for Anchor to take over the company and squeeze out the minority.
  • Slow case processing: The petition was subject to prolonged proceedings, which in practice gave Anchor the opportunity to complete the squeeze-out before a ruling was delivered. The petition was submitted in mid-January, and our understanding—though not stated outright—was that the case was nearing a ruling around Easter. Following a change of judge and the court recess, a ruling was not delivered until five months later.

We strongly disagree with the court’s conclusion and reasoning. The consequence is that the reprehensible matters we pointed out will not be brought to light.
