The bid document has arrived – an obvious lowball offer, best suited for the recycling bin.
Before long, we believe the company can be valued very differently. Many are watching closely, calculators in hand. The bid deadline is June 24, so there is plenty of time. And much will happen before then.
Then came the notice for the Annual General Meeting, yet another document fit for the trash. Under item 12, regarding the election of board members, the nomination committee has not submitted a recommendation. Still, it is highly likely that the committee – appointed by Hanwha – will propose former Hanwha-affiliated individuals as new board members.
We are not offering any advice.
But we will:
- Vote in favor of a formal investigation
- Say no to the offer and #stopTheSteal
- Vote to replace all or part of the current board
- Support the direction communicated by Water Street
